Corporate Governance Committee

The Governance Committee, which is chaired by Leonard S. Coleman, is responsible for identifying and recommending to the Board appropriate candidates who could serve as director nominees for the next annual meeting of shareholders as well as advising the Board with respect to the Board composition, procedures and committees. In addition, the Governance Committee develops and recommends to the Chief Executive Officer and the Board corporate governance guidelines applicable to the Company and monitors such governance guidelines.
